At Operation HOPE-North County, we are dedicated to breaking the cycle of homelessness by providing safe shelter, vital resources, and compassionate support to families and individuals in need. Through empowerment, advocacy, and community collaboration, we help our residents regain stability and build a path toward self-sufficiency.

Serving on the Operation HOPE–North County Board of Directors is a meaningful opportunity to advance our mission of supporting families experiencing homelessness. This document outlines the core legal responsibilities and expectations for board members, designed to promote strong governance, active engagement, and mission alignment.

Legal Duties of Nonprofit Board of Director Members  

As a board member, you are entrusted with three primary legal responsibilities:

Duty of Care: Act in good faith and with reasonable diligence when overseeing the organization’s operations, assets, staff, and reputation.
Duty of Loyalty: Prioritize the interests of the organization, avoid conflicts of interest, and act in a manner that upholds the nonprofit’s mission above personal or professional gain.
Duty of Obedience: Ensure compliance with all applicable laws and regulations, adherence to the organization’s bylaws, and faithful commitment to its stated mission.

Expectations of Operation HOPE-North County Board of Directors  

As a board member of Operation HOPE–North County, you are expected to:

  • Commit to the mission, vision, and goals of the organization.
    Attend a minimum of 9 out of 12 board meetings, as well as retreats, workshops, and planning sessions.
    Actively serve on at least one committee. Committee options include governance, finance, facilities, resource development, or personnel (details listed below).
  • Contribute your unique expertise, insight, and skills to further the mission and goals of the organization.
  • Participate in and monitor the strategic planning process and goals of the organization.
  • Foster a culture of respectful dialogue and thoughtful governance, even when perspectives differ. Challenge actions or directions that may not support the mission.
  • Assist in building a strong board by identifying and nominating board candidates who both match the current needs of the organization and support its strategic initiatives.
  • Adhere to the Code of Ethics, Board Member Agreement, and all other governance policies and procedures.
  • Represent the organization in the community and serve as an ambassador for our programs and mission.

Philanthropic Engagement

Make an annual or recurring financial contribution that is meaningful to you and aligned with your capacity.
For FY26, the Board’s collective “give or get” goal is $25,000.
Members are encouraged to aim for $1,500 to $2,500 or more, through personal giving or fundraising.
We trust each member to contribute at a level that feels achievable, fair, and personally significant.
Support fundraising and special events through attendance, promotion, or securing in-kind and financial contributions.
Assist in fundraising efforts by identifying potential donors, making introductions, helping to secure gifts, and stewarding relationships.

Fiduciary Oversight

Participate in oversight of the organization’s financial health.
Review financial statements and budgets and contribute to resource development planning.

How We Support Our Board Members

At Operation HOPE–North County, we are committed to ensuring our board members are well-informed, empowered, and supported in their roles. As a board member, you can expect the following from the organization:

Timely Access to Materials. You will receive board meeting agendas and materials—including financial reports and program updates—at least three days prior to each scheduled meeting (barring extraordinary circumstances). These materials will help you make informed decisions and fulfill your fiduciary responsibilities.
Board Orientation. New board members will be offered an orientation during regular hours of operation, including a facility tour and the opportunity to meet with the Executive Director and Board President to discuss internal programs, goals, and the overall status of the organization.

Open Communication. The Executive Director and fellow board members will respond transparently and in good faith to questions that help you fulfill your role. We are committed to a collaborative board culture that works toward shared goals.

Ongoing Information Sharing. The organization will keep you updated on key issues and emerging trends that impact our work, including housing instability, economic and social factors affecting families, and shifts in the local nonprofit landscape.

Professional Development. You will be offered opportunities for training and leadership development, as available, to strengthen your skills and effectiveness as a board member.

Support for Accountability. If at any point you feel the organization is not meeting its commitments to you as a board member, you are encouraged to speak directly with the Board President and/or Executive Director to discuss your concerns.

Liability Coverage. The organization carries Directors and Officers (D&O) Liability Insurance to protect board members while acting in their official capacity.

Committee Details

Governance Committee: The Governance Committee ensures strong and effective board leadership by overseeing board recruitment, orientation, development, and evaluation. This committee reviews and updates governance policies, supports succession planning, and works to build a high-functioning, mission-aligned board.

Finance Committee: The Finance Committee supports fiscal oversight and long-term financial sustainability by reviewing budgets, financial reports, and audit findings. The committee partners with staff to ensure sound financial policies and practices and advises the board on key financial decisions and risk management.

Resource Development Committee: The Resource Development Committee helps strengthen fundraising strategy and donor engagement. Committee members support the development of a culture of philanthropy across the board and organization, help identify new funding opportunities, and assist with events, campaigns, and stewardship efforts.

Facilities Committee: The Facilities Committee provides oversight and strategic guidance related to the safety, maintenance, and improvement of the Operation HOPE–North County campus. This committee works closely with staff to assess facility needs, plan for repairs or upgrades, monitor vendor contracts, and ensure the shelter and annex environment remains safe, accessible, and aligned with program goals.
